1. Agreement to Terms

These Terms of Service (the "Terms") form a legal agreement between you and MSG SERVICES AND BUSINESS, LLC, a limited liability company located at 14454 S Quiet Shade Dr, Herriman, Utah 84096, United States ("MSG SERVICES," "we," "us," or "our"). By accessing or using the website at www.msgservic.shop (the "Site"), you agree to be bound by these Terms. If you do not agree, do not use the Site.

Charter transportation is governed by written charter agreements and signed itineraries. If a charter agreement conflicts with these Terms, the agreement controls within its scope.

2. The Site and Service Information

The Site presents information about MSG SERVICES AND BUSINESS, LLC and the charter programs we offer — program descriptions, booking-process notes and contact channels. It is provided for general informational purposes.

Site content does not guarantee availability or rates. Program descriptions are general summaries of service, not binding quotes, schedules or capacity statements. Availability and pricing are confirmed only in written quotes and charter agreements.

3. Bookings and Agreements

Submitting a charter request through the Site or by email creates no obligation on either party. A charter forms only when a written agreement and signed itinerary are executed, subject to vehicle availability, deposit and driver's duty-window limits. We may decline any request at our discretion, including where dates, routing or group requirements fall outside service capacity.

MSG SERVICES provides charter transportation only. We do not operate scenic, sightseeing or packaged tour services; requests of that nature may be declined or referred.

4. Acceptable Use

You agree to use the Site only for lawful purposes. You must not:

• Use the Site in violation of any applicable local, state, national or international law;
• Attempt unauthorized access to the Site, its hosting environment or related systems;
• Probe, scan or test Site vulnerabilities, or breach security or authentication measures;
• Introduce malware or other harmful code, or launch denial-of-service attacks;
• Scrape or harvest Site content or data by automated means without written consent;
• Misrepresent your identity, organization or group requirements in booking requests;
• Use the Site to send unsolicited commercial messages.

We may suspend or block access for conduct that violates these Terms or that we reasonably believe threatens the Site or other users.

5. Intellectual Property

The Site and all of its contents — text, design, layout, graphics, marks, and the selection and arrangement of materials — are owned by MSG SERVICES AND BUSINESS, LLC or its licensors and protected by copyright, trademark and other intellectual property laws. "MSG SERVICES AND BUSINESS" is an identifier of MSG SERVICES AND BUSINESS, LLC.

You may view, download and print Site pages for personal, non-commercial informational use, provided proprietary notices are kept intact. Any other reproduction, distribution, modification or republication requires our prior written consent.

6. Confidentiality of Communications

Information sent through the Site or by email before a charter agreement exists is handled under our Privacy Policy. Group rosters and travel documents shared for booking purposes are used only to prepare the quote and itinerary.

7. Third-Party Links and Services

The Site may link to third-party websites and relies on third-party services (including hosting by Google Firebase). We do not control and are not responsible for the content, availability or practices of third parties. Links are provided for convenience and do not imply endorsement.

8. Disclaimer of Warranties

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES RELATING TO THE SITE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, error-free or secure, that defects will be corrected, or that content is complete, current or accurate at any time. Service commitments are stated exclusively in written charter agreements — nothing on the Site extends or modifies them.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MSG SERVICES AND BUSINESS, LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR CLAIMS RELATED TO THE SITE EXCEED ONE HUNDRED U.S. DOLLARS (US $100). Liability under executed charter agreements is governed solely by those agreements. Some jurisdictions do not permit certain limitations, so parts of this section may not apply to you.

10. Indemnification

You agree to indemnify, defend and hold harmless MSG SERVICES AND BUSINESS, LLC and its members, managers, employees and agents from claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or misuse of the Site.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules. Disputes arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Salt Lake County, Utah, and you consent to their personal jurisdiction.

Before filing a claim, the parties will attempt in good faith to resolve disputes informally. Contact us first at liu.mingyue@msgservic.shop and allow at least thirty (30) days for resolution discussions.

12. General Provisions

• Severability. If a provision is found unenforceable, the remainder stays in effect.
• No waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.
• Assignment. You may not assign these Terms without written consent; we may assign them in connection with a reorganization or sale.
• Entire agreement. These Terms, the Privacy Policy and any signed charter agreement form the entire agreement about the Site.

13. Changes to These Terms

We may revise these Terms from time to time. The "Last updated" date reflects the current version. Material changes are posted on this page; continued use of the Site after changes take effect constitutes acceptance.
